Organizational Overview

TIFF is an outsourced chief investment officer (OCIO), focused on delivering investment and operational excellence to nonprofit organizations. TIFF was founded in 1991 by a network of foundations and is a mission-driven organization primarily dedicated to delivering investment solutions to foundations, endowments, and other charitable institutions. TIFF is seeking an experienced legal professional to join our 4-person legal/compliance team reporting directly to the general counsel to work on matters for an SEC-registered adviser and the registered and private investment funds it advises.

What You’ll Do--Responsibilities (include, but are not limited to):

• Investment Management and Advisers Act Support: Assist general counsel with contracts, NDAs, memos, blue sky matters, corporate and state filings, and other legal issues related to support of a registered investment adviser that advises registered mutual funds, hedge funds, private equity funds, and other pooled investment vehicles.

• Board Material Preparation: Prepare and review board and committee meeting materials and minutes for registered investment advisers and registered mutual funds, ensuring organization, attention to detail, flexibility, accuracy, clarity, and adherence to regulatory requirements.

• Legal Research: Stay up-to-date with relevant laws, regulations, and industry best practices pertaining to investment management. Undertake review of select legal and compliance regulations to ensure adherence.

• AML Review: Oversee all Anti-Money Laundering requests and matters for our clients and funds; support the AML officer and the firm’s AML program.

• Mutual Fund Support: Oversee legal matters for registered mutual fund including registration statement update, proxies, supplements, annual contract reviews, annual questionnaires, annual and semi-annual reporting, and other EDGAR-required filings. Coordinate with third-party administrators and other providers. Update and prepare all attendant private fund documentation including fund launches, private placement memorandum updates and completing subscription documents.

• Office of Corporate Secretary Support: Draft and review standard legal agreements, NDA, contracts, and other legal documents, renew lines of credit, oversee corporate state filings and related matters.

• Legal/Compliance Assistance: Assist with compliance efforts, including the development and implementation of new regulatory requirements.

• Project Management: Organize and manage legal projects efficiently to meet deadlines and deliver exceptional results.

What You Need (Requirements)

• Bachelor's degree required paralegal degree/certification or equivalent experience

• 3-5+ years of investment management and investment advisers regulatory/compliance experience; compliance experience a plus

• Proficient with Microsoft Office (including Excel), PowerPoint, and Adobe Acrobat Reader, with acumen to learn internal systems

• Knowledge of Investment Advisers Act and Investment Company Act

• Knowledge of FINRA regulations re: investment companies and private funds

• Experience with regulatory filing requirements (SEC/IARD, FINRA, NFA) and filing mechanics

Work Environment

This position operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, and photocopiers/scanners.

Physical Demands

This is largely a sedentary role; however, some lifting is required. This would require the ability to lift up to 10 pounds and bend or stand as necessary.

Travel

Occasional travel may be required, but is not a significant part of the role.
